These Terms & Conditions ("Terms") govern your access to and use of the BalanceSe mobile application and the website at balancese.com (together, the "Platform"), operated by Sozo Labs Pvt Ltd ("Company", "we", "our", or "us"), a company incorporated under the Companies Act, 2013 with its registered office at No. 301, 617/1117, 3rd Sector, HSR Layout, Bengaluru – 560102, Karnataka, India.
By accessing the Platform or using the Services, you agree to be bound by these Terms, all applicable laws and regulations, and our Privacy Policy, which forms an integral part of these Terms. If you do not agree with any part of these Terms, you are prohibited from using the Platform.
This document is an electronic record under the Information Technology Act, 2000 and requires no physical or digital signature.
BalanceSe is a personal finance tracking and information tool. The Services comprise automatic transaction tracking, personalised spend analysis, budgeting and net-worth tools, and related financial information features.
We provide these Services in collaboration with Shreem Datatech Solutions Pvt. Ltd. ("SreeM"), a Registered Investment Advisor. Financial data accessed through this arrangement is securely managed and stored on SreeM's servers, while BalanceSe displays that information on your device for your personal use.
We may introduce, modify or discontinue features at any time. New features are governed by these Terms unless we state otherwise.
By accepting these Terms, you declare and confirm that:
To access the Services you must register and supply accurate, complete and current information. We reserve the right to terminate any account found to contain incorrect or outdated information.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. Notify us immediately at support@sozolabs.in of any unauthorised use or security breach. We accept no liability for unauthorised access to or use of your account.
We may disable access to your account where we suspect a breach of these Terms or applicable law, or where there is actual or suspected unauthorised access.
Certain features require device permissions, including access to SMS messages for automatic transaction detection. With your permission, messages identified as originating from banks, card issuers and payment providers are transmitted to our secure servers, where they are parsed to extract transaction details.
Granting permissions is voluntary. You may withdraw any permission at any time through your device settings; doing so disables the dependent feature but does not terminate your account. By granting SMS permission, you consent to the processing described in the Privacy Policy.
Certain features require a paid subscription. Current plans, prices and billing periods are displayed in the App before purchase. Prices are in Indian Rupees and inclusive of applicable taxes unless stated otherwise. We may change pricing prospectively, giving notice before the change affects your next renewal.
Payments are processed by Razorpay, an RBI-compliant payment gateway, or by the Google Play Store or Apple App Store where the subscription is purchased through them. Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the period ends.
You may cancel at any time through your app store subscription settings or in-app. Cancellation stops future renewals; access to paid features continues until the end of the period already paid for.
Where a free trial is offered, it converts into a paid subscription at the end of the trial unless cancelled beforehand. We may modify or withdraw trials at any time.
We are not liable for loss or damage arising from lack of authorisation for a transaction, payment issues, illegitimacy of a payment method including card fraud, or a transaction declined for any reason. The terms of your bank or financial institution apply in addition to these Terms.
Where a subscription was purchased through the Google Play Store or Apple App Store, any refund request is governed by that store's refund policy and must be directed to the store.
We work with account aggregators licensed by the Reserve Bank of India, including SreeM, to provide secure access to your financial information.
For bank account data and specified investment details, your consent is given directly to SreeM, which securely manages and stores that information. For other investment details and credit card data, consent is given directly to Sozo Labs. You may be required to accept additional terms set by these parties in order to access their services.

Information displayed on the Platform is derived from SMS messages, your own entries and partner sources, and may be incomplete, delayed, duplicated, miscategorised or inaccurate — for reasons including changes to bank message formats, deleted or undelivered messages, cash transactions that generate no message, network failure, or errors in third-party data. You must not rely on it for tax filing, audit, reconciliation or any other purpose requiring certified accuracy.
Any financial decision you take is your own. You should verify information independently and consult a qualified registered professional before acting.
By providing your contact details, you authorise us and our partners to contact you by telephone, SMS, email, WhatsApp or other messaging services regarding the Services, product information and offers. You consent to receiving such communications on the number you provide and expressly waive any registration under the DND or NCPR lists under applicable TRAI regulations.
Service communications — transaction alerts, security notices and billing reminders — are integral to the Services and cannot be opted out of while your account is active. Promotional communications may be opted out of at any time.
You are responsible for the accuracy of the contact details you supply and agree to notify us of any change. You will indemnify us and our SMS and email service providers against any claim arising from misuse by you, incorrect or fraudulent information you provide, or your provision of a number belonging to an unrelated third party.
The Services include content and functionality provided by third parties, including SreeM, RBI-regulated account aggregators, Razorpay, Firebase, Meta and Mixpanel. Responsibility for these services rests with the respective provider, and your use of them is governed by their own terms and privacy policies.
Neither Sozo Labs nor SreeM bears responsibility for the acts, omissions or negligence of other third parties. We disclaim responsibility for direct or indirect loss caused by the use of or reliance on any third party service falling outside our partnership arrangements, and make no representations as to their accuracy or completeness.
Your dealings with any third party accessed through the Platform are at your own risk.
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable and limited licence to use the Services for your personal, non-commercial use. Under this licence you may not:

The Platform, including its software, design, user interface, text, graphics, logos, trademarks and algorithms, is owned by Sozo Labs or its licensors and is protected by Indian and international intellectual property law. Except for the limited licence in Section 12, no right, title or interest is transferred to you.
"Sozo Labs", "BalanceSe" and associated logos are our trademarks and may not be used without our prior written consent.
You retain ownership of the data you provide. You grant us a worldwide, royalty-free, non-exclusive licence to host, store, process and display that data solely as necessary to operate the Services in accordance with the Privacy Policy. If you send us suggestions or feedback, you grant us an unrestricted, perpetual, royalty-free right to use them without obligation or compensation.
Use of the Services is at your sole risk. The Platform and all materials are provided on an "as is" and "as available" basis. We make no warranties, express or implied, and disclaim all implied warranties or conditions of merchantability, fitness for a particular purpose and non-infringement.
We expressly disclaim any obligation that:
We may discontinue or suspend the Services, temporarily or permanently, giving reasonable notice where possible, except where a change is required to preserve the security or integrity of the Platform. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disaster, war, government action, strike, power or telecommunications failure, cyber-attack or internet outage.
We may be required to modify the Services to comply with applicable laws and regulations, and are not liable for any resulting inability to use them.
You agree to indemnify and hold Sozo Labs, its officers, directors, agents and employees harmless from any claim, loss, damage, fine, penalty, cost or expense, including reasonable legal fees, arising from your breach of these Terms, your violation of any law or third-party right, your use of the Platform, use of the Platform by any third party with access to your account, or your negligence, wilful misconduct or fraud.
We will not be liable for any injury, loss, claim, act of God, accident, delay, or any direct, special, exemplary, punitive, indirect, incidental or consequential damages of any kind, including lost profits or savings, arising from any failure or delay, any use of the Platform or its content, or the performance or non-performance of Sozo Labs or any provider, even if advised of the possibility of such damages. We are likewise not liable for damage to, or viruses infecting, your equipment as a result of your use of the Platform.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded, including liability for fraud or wilful misconduct.
You may stop using the Platform at any time and may delete your account through the in-app settings or by writing to support@sozolabs.in. Personally identifiable information is deleted within 30 days of your request, subject to any legal retention obligation, as set out in the Privacy Policy.
We may suspend or terminate your access to one or more Services or your account, without notice and without liability, for reasons including inactivity, breach of these Terms or applicable law, or breach of other policies we publish from time to time. Such termination may also end services provided by our partners, including SreeM.
On termination, your licence ends immediately and you must stop using the Platform. Provisions which by their nature are intended to survive will continue to apply, including those relating to intellectual property, disclaimers, liability and governing law. Termination does not entitle you to a refund except as required by law.
These Terms are governed by and construed in accordance with the laws of the Republic of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Services.
Nothing in this section limits any right you may have as a consumer to approach the appropriate forum under the Consumer Protection Act, 2019.
These Terms may not be assigned by you. We may assign them in whole or in part without your prior consent. If any provision is found unlawful or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue in full force.
We may revise these Terms and introduce additional terms at any time. We will notify you of significant changes via in-app notification, email to your registered address, or an updated "Last Updated" date at the top of this page.
Your continued use of the Platform after an update constitutes acceptance of the revised Terms. If you do not agree to a change, you should discontinue use of the Services.
If you have any grievance, complaint, question or feedback concerning these Terms or any aspect of our Services, please contact our Grievance Officer. We acknowledge complaints within 24 hours and aim to resolve them within 15 days of receipt, in accordance with applicable law.
